Agreement and provider
The Ferro API is provided by Prophetizo LLC, a Wyoming, USA limited liability company doing business as MorphIQ Labs ("MorphIQ Labs," "we," or "us"). Contact support@morphiqlabs.com for support or legal@prophetizo.com for legal correspondence.
These terms, the market-data and analytical-use policy and any applicable order govern your use of the Ferro API, its documentation and your account (together, the "service"). The privacy notice explains how we handle personal information. If you accept for an organization, you represent that you have authority to bind it. You must be at least 18 and legally able to enter this agreement.
Signup is open to customers internationally. Availability of particular operations or data sources remains subject to these terms and to source-data permissions. Nothing in these terms removes mandatory rights or protections that apply to you under local law.
Beta phase
The service is currently in a beta phase. During the beta phase:
- accounts are created on the Free plan, which has no charge;
- the service is provided on a best-effort basis, without a service-level agreement or availability commitment;
- operations, limits, allowances and documentation may change, and we may withdraw a feature, with notice where practicable;
- capacity may be limited, and requests may be refused or shed under load.
Paid plans are not yet offered. The paid-subscription terms below apply only if you later choose a paid plan at checkout.
Accounts and access
Provide an email address you control and keep it and your API keys secure. Do not share verification codes or publish API keys. Notify support@morphiqlabs.com promptly of suspected unauthorized access. You are responsible for activity through your account and your API keys. Account creation verifies access to your email address; the operations, keys and plan available to you are shown in your account and the service documentation.
Acceptable use
You may use the service for lawful analytical workloads within your plan and applicable data rights. You must not:
- bypass or attempt to bypass limits, allowances or access controls;
- create multiple accounts, or share keys between people or organizations, to evade an allowance or restriction;
- interfere with the service or other customers, including by load testing it without our written permission;
- probe, scan or test the security of the service without our written permission;
- impersonate others, or submit content you do not have authority to process;
- use the service to violate the law or the rights of others.
Service and analytical results
The service provides software-generated analytical results. It does not execute trades, hold customer funds or provide personalized investment advice. Outputs depend on model assumptions and supplied inputs and, where applicable, data provenance and timestamps. Independently assess their suitability for your use. We do not promise profits, execution prices, or that every model will suit every market condition. This section does not remove rights or obligations that cannot lawfully be excluded.
Plans, allowances and changes
Your plan identifies its allowances, capacity class and limits. Usage is measured in Ferro Compute Units (FCU) under a versioned schedule identified in the service documentation. A published schedule is not silently edited; a change takes effect as a new version.
Current plans use monthly FCU allowances that reset each UTC calendar month, without rollover or automatic usage overages. An FCU allowance is a usage limit, not prepaid cash or a promise of throughput. Free capacity is best effort and may be unavailable under load. An availability commitment applies only where expressly included in your agreement.
Paid subscriptions
If you choose a paid subscription, checkout will identify its price, billing interval, applicable taxes and renewal terms before you confirm payment. By confirming, you authorize recurring charges at the disclosed interval until you cancel. Paid subscriptions renew monthly unless your order states otherwise. Creating an account does not authorize a paid subscription.
You may cancel renewal through the billing portal or by contacting support@morphiqlabs.com from your verified account email. Cancellation takes effect at the end of the paid billing period; you retain the applicable access until then, subject to usage limits and these terms. Fees for a started period are non-refundable except where required by law, stated in your order or otherwise agreed by us. This does not limit a remedy you are entitled to for our failure to provide the service.
We will give at least 30 days' notice of a subscription price increase before it applies at a subsequent renewal. You can cancel before the increase takes effect. If payment fails, we may suspend paid access after notifying you and providing a way to update payment details. You remain responsible for valid charges incurred before cancellation or suspension. We do not automatically charge usage overages under the current plans.
Data and intellectual property
You retain your rights in inputs you provide. You authorize us to process them to provide, secure and support the service. Our software, documentation and branding remain ours or our licensors'. Use of inputs and outputs is also subject to the market-data and analytical-use policy; access to an analytical result does not grant rights in anyone else's market-data feed.
Suspension and termination
We may suspend or restrict access, or revoke API keys, to address security threats, abuse, a breach of these terms, unlawful use or nonpayment. Where practicable, we will explain the issue and a way to resolve it. We may end the beta phase or discontinue the Free plan with reasonable notice.
You may stop using the service at any time. You may request account closure by contacting support@morphiqlabs.com from your verified account email; we will verify the request before changing account access. Closure does not cancel obligations already incurred or require erasure of records we are entitled or required to retain.
Liability, disputes and updates
Except for commitments expressly included in your agreement and rights that cannot lawfully be excluded, we provide the service and analytical outputs "as is" and "as available." We do not warrant uninterrupted or error-free operation, or suitability for a particular trading or business purpose.
To the extent permitted by law, neither party is liable to the other for indirect, incidental, special or consequential loss, including lost profits, lost trading opportunities or loss of business, arising from this agreement. Our aggregate liability arising from this agreement is limited to the greater of USD 100 and the fees you paid us for the affected service during the 12 months before the event giving rise to the claim. These limitations do not apply to fraud, willful misconduct, gross negligence, or liability that cannot lawfully be limited. They do not reduce mandatory consumer rights or remedies.
Wyoming law governs this agreement, excluding its conflict-of-law rules, subject to any mandatory protections that apply where you live. Unless applicable law requires otherwise, disputes may be brought in the state or federal courts located in Wyoming, and each party consents to their jurisdiction. You may contact legal@prophetizo.com to try to resolve a dispute before bringing a claim. This agreement does not require arbitration or waive rights that applicable law makes non-waivable.
We publish each version of these terms at a permanent link with its effective date, and keep earlier versions available. When we publish a new version, we ask you to accept it the next time you sign in, and we give notice of material changes as required by applicable law. If you continue to use the service after a new version takes effect, that version applies to your continued use. A new version does not retroactively remove rights you have already accrued.
